Update – Bouygues / Orange takeover, end of discussions, no operation!

Updated April 1: the information came out this
evening, via a press release from Orange and Bouygues, the two companies do not
will not get closer (this time?).The discussions are
finished
. See the
communicated here
.

Updated March 31: The two operators have each brought together their
board of directors yesterday to discuss marriage andof the last
arrangement details
. But while the deadline chosen there is
a few weeks wasthat of March 31, or today, the
final decision has been postponed until Sunday April 3. Each of the two
groups indicated that they would allow themselves a few more days of reflection before making a choice
final,negotiations being difficult. For more
details, see end of article *.
Today there is a council
of administration at Orange, according to Europe1, which aims to determine the
final details regarding negotiations forthe redemption of
Bouygues Telecom by Orange
. The two operators have been in talks since
many weeks, a financial agreement would have been found, but,
Competition authority obliges
, customers, stores, branches and
Frequencies are still to be distributed among the other operators. And while the
March 31 would be the date chosen to close the deal, Free has shown its interest
regarding the550 Bouygues Telecom stores:

The operator of the Iliad group could therefore, if the takeover takes place,
go from 51 to 600 storesthanks to the operation, i.e. a
significant boost for its storefront presence.

Still according to Europe1, Free could alsotake back the 2,000
employees
of these stores, which would increase it from 6,000 employees to
8,000, again, a big step to take.

While the concept of Free mobile launched in 2012 was precisely to
do without physical storesto limit costs and
remain aggressive on prices, so the policy of the house seems
take another turn, at the dawn of a return, to France, to3 grands
mobile operators
. But perhaps this is the price to pay for
stand up to competitors such as SFR-Numéricâble and perhaps soon
Orange-Bouygues?

Concerning antennas and frequencies, Xavier Niel would also be interested, as
at SFR-Numéricâble, these arefixed and mobile customerswhat
the operator would like to recover, to the point of beingready to pay 4
billion euros
for that.

According to the established schedule, tomorrow would therefore beon D-day for
finalize the agreement
.

*Updated March 31: It seems that the
valuation of the operation is alwaysground for disagreement
between the different actors, including the State. Bouygues promotes its Telecom section
has10 billion euros, when the State, majority shareholder
of Orangefind it too high. The latter would like to keep his
strong position in the assets of the historic operator (23%) while
Martin Bouygues asks to recover between10 and 15% share,
what isunacceptable in the eyes of the state.

The other point of uncertainty remainsthe distribution of assets
Bouygues
(antennas, frequencies, customers, etc.) between SFR and Free.
While the latter would have a priori agreed, for the moment, this
does not guarantee anythingthe green light from the Authority of
concurrence.

To be continued!
